Regulations of the Council of the Coalition “On improving transparency in extractive industries” (December 13, 2004)
  1. The Council of the Coalition

  • The Council is elected at and by the general meeting and is considered to be the Coalition’s governing body in the periods between general meetings.

  • The Council is initially comprised of seven people. This number can be increased by corresponding decisions adopted at general meetings.

  • The first Council is elected for a period of six months, the second Council for one year and subsequent Councils for two years.

  • The Council outlines the Coalition’s activities, manages all activities, holds negotiations with local and foreign organizations and authorizes the signing of different documents on behalf of the Coalition

  • Meeting of the Council is competent if more than half of the selected by General Meeting members are attended it.

  • Council meetings are convened at least once a month;

  • Council decisions are adopted by at least more than half of the votes;

  • The Council determines the strategy and activity directions of the Coalition;

  • The Council makes necessary preparations for general meetings;

  • To organize the activity of the Council, the Council elects one of its members as Coordinator;

  • On the demand of two thirds of Coalition members, the Coalition passes a vote of no-confidence in the Council coordinator. In this case, an extraordinary meeting may be convened to elect a new coordinator;

  • Extraordinary General meetings or meetings of the Council to discuss different issues can be convened with the consent of at least one thirds of Council members;

  • The Council has the right to veto the decisions adopted by the coordinator;

  • The Council admits new members to the Coalition. For this purpose the Council prepares special Regulations and put it up the web site;

  • The Council ensures the implementation of the decisions adopted by the Coalition;

  • The Council forms the Coordinator’s executive staff after his representation;

  • The Council specifies the Coordinator’s responsibilities;

  1. Rights of the Coalition members:

  • to attend Council meetings;

  • to elect the Council’s coordinator;

  • to be elected as the Council’s coordinator;

  • to use the Council’s database;

  • to receive and provide information about the Council activities;

  • to put forward suggestions on issues concerning the Council’s activities at Council meetings;

  • to represent the Council with its prior consent.

  • this excludes the right of the Coalition Council member’s to make a statement on behalf of the Council.

  • a member of the Council can break off his membership at any time

  1. Responsibilities of Council members

  • Council members agree to abide by the Regulations of the Coalition and the present Regulations.

  1. Financing the Council activities

  • The Council’s activities are financed from grants and at the expense of Coalition members.

  1. Rules of amending these regulations

  • Amendments to these Regulations can be introduced with the consent of at least two thirds of Council members.

  1. Termination of the Council

  • The Council is terminated in the event of termination of the Coalition and by the decision of the Coalition.

Current issues of the Council are managed by its Coordinator.

  1. Coordinator of the Council.

  • The Coordinator is elected for a period of election of and by the Council;

  • The Coordinator is considered to have been elected if he collects at least two thirds of the votes of the Members of the Council;

  • The Coordinator signs agreements on behalf of the Coalition and represents the Coalition at different events with the consent of the Council;

  • The Coordinator disposes of the Coalition assets, including financial resources, with the consent of the Council;

  • The Coordinator orders about current activities of the Council;

  • The Coordinator carries out other functions vested in him by the Council.

Note: Coalition Council meetings are conducted under a special time- limit.

This Regulation was approved by the Council in December 13, 2006 after some amendments and changes had been inserted into the previous Regulation approved in May 21, 2004.
